Withholding Tax in Kenya: Is It Final or Not?This is one of the most misunderstood areas of the Kenyan tax regime.

Let’s clear it up.

If you’re a consultant, supplier, or service provider, you’ve probably invoiced a client and then wondered why you didn’t receive the full amount. That difference? Withholding Tax.

So what is Withholding Tax?

It’s tax deducted at source by the person or entity making payment for services, income, or investment returns. The withholding agent remits this tax to KRA on your behalf, and you receive a Withholding Tax Certificate as proof.

Not all income in Kenya is subject to withholding tax, but common examples include:

  • Management, professional, and training fees
  • Consultancy, legal, and audit fees
  • Contractual fees
  • Winnings and performance fees
  • Royalties
  • Interest
  • Dividends

Is Withholding Tax final?

Sometimes. Not always.

When Withholding Tax is FINAL

If withholding tax is final, you’re not required to pay additional tax on that income or declare it again when filing your annual return.

In Kenya, withholding tax is final when it applies to:

  • Qualifying dividends paid to a Kenyan resident
  • Qualifying interest paid to a Kenyan resident
  • Payments made to a non-resident person
  • Interest income from Money Market Funds (MMFs)

When Withholding Tax is NOT final

In this case, the tax deducted is treated as tax paid in advance.

You must:

  1. Declare the income when filing your annual return

2.Deduct allowable expenses under Section 15 of the Income Tax Act

3.Offset the withholding tax already paid

4.Pay any balance due to KRA

Withholding tax is not final on:

  • Non-qualifying interest income
  • Management and professional consultancy fees
  • Insurance commissions
  • Legal and contractual fees

If you earned income in any of these categories and withholding tax was deducted, you are still required to declare that income during annual filing.

Many penalties and compliance issues arise simply because this distinction isn’t clear.

Understanding whether withholding tax is final or not can save you money, stress, and unnecessary back-and-forth with KRA.
