The $1.75 Trillion Gamble: SpaceX’s Historic IPO Is Moments Away

10 days before financial history is made. In its listing announcement, Elon Musk’s rocket company, SpaceX, will be renaming itself SpaceX Inc., and plan to list on the Nasdaq on June 12, with a goal of raising around $75 billion and a planned valuation of $1.75 trillion. For comparison, Saudi Aramco’s IPO in 2019 — the benchmark for mega-offerings — was $29.4 billion. SpaceX would do it by over two and a half times.
The roadshow will commence from the week of June 8 and expected pricing is June 11. The rocket firm which sparked the commercial space age is offering more than just a rocket on June 12; it’s an empire of technology. SpaceX’s merger with xAI, which includes Starlink satellite internet and the Grok AI chatbot, and the company’s main spacecraft operations, was finished in February 2026. Instead of a space company, investors will be purchasing a vertically integrated technology company that is also an orbital transportation firm.
Even by the metrics of the billion dollar economy today, the numbers on Musk’s personal stake are staggering. At the IPO stock price, his equity stake would be valued at more than $735 billion, or the GDP of a medium-sized nation. That level of concentration is already attracting criticism from governance watchdogs, who are pointing out that retail investors will have limited voting rights compared to their economic interest.
The retail access structure is unusual — and likely of great long-term consequence to the success of the offering. The largest direct-to-retail carve-out in its kind ever tried — 100% of the available shares will be sent directly to individual investors via Robinhood, Fidelity, and Charles Schwab. Retail investors have been an afterthought during most mega-IPOs in the past, with the bits and pieces once institutions were covered first. The strategy could represent a calculated gamble by SpaceX that owning its shares in the public market makes them more long-term and committed investors, or it might be a marketing ploy designed to generate hype beforehand for its much-anticipated launch.
The ground is all the more favorable, that is certainly on the surface. Technology stocks continued its rally on the Nasdaq, which closed above 27,000 for the first time since Monday. S&P 500 companies are expected to earn about 23% more in 2026, and investors’ appetite for growth remains strong. All of that raises the bar on how much it’s worth to the market as a whole to be a company such as SpaceX, which is still pre-profit at the parent level, but has an ever-growing subscriber base for Starlink and an early commercial success with xAI.
But there are real dangers under the surface action. The macroeconomic outlook has become cloudier of late, with Friday’s nonfarm payrolls report projected to post growth of only 95,000 and a jobless rate of 4.3%. If the number is lower than expected, it will dampen sentiment leading up to the IPO pricing window. Satellite operations are also subject to geopolitical tensions and the government contract business model of the launch industry carries additional uncertainty.
The fundamental issue isn’t if an ordinary investor should consider buying SPCX — that’s obviously a great company. The question is: is $1.75 trillion worth a few decades of optimism in one day’s newspaper? Unlike other IPOs of this magnitude, the allocation will be done through retail brokers, which will open up the IPO to the masses. It will only be the next few months that will tell if that’s a chance or a risk transfer.
