Howard Hughes Holdings: Berkshire, Brookfield… or Something Else?

Why Howard Hughes Holdings may be one of the market’s most misunderstood companies after Bill Ackman’s transformation plan.

For years, most investors viewed Howard Hughes Holdings (NYSE: HHH) as little more than a niche real estate developer.

That description no longer captures what the company is becoming.

Under the growing influence of Bill Ackman and Pershing Square, HHH is evolving into something far more complex — and potentially far more interesting.

The company still owns some of the most valuable Master Planned Communities (MPCs) in the United States:

  • Summerlin in Las Vegas
  • The Woodlands in Texas
  • Bridgeland
  • Ward Village in Hawaii
  • and the massive long-duration Teravalis project in Arizona

These assets alone may justify a valuation materially above the current market price according to many NAV-based estimates.

But the real story is no longer just about land.

The key development came with Ackman’s attempt to transform HHH into a permanent-capital vehicle inspired by Berkshire Hathaway.

The acquisition of Vantage Group Holdings introduced insurance float into the equation — opening the door to a structure where recurring cash flows from:

  • real estate,
  • insurance,
  • and potentially investments,

could compound internally over very long periods of time.

This is where the thesis becomes far more nuanced.

The Real Question

The central question is no longer:

“Is HHH undervalued?”

Instead, the real question is:

“Who will ultimately capture the compounding engine?”

That distinction changes everything.

There are multiple possible futures for HHH:

1. Berkshire-style compounder

HHH internally reinvests MPC cash flows and insurance float into investments and acquisitions.

2. Brookfield-style ecosystem

HHH becomes the asset-heavy cash-flow platform, while Pershing-related entities capture the higher-multiple asset-light investment-management economics.

3. Utility-like cash-flow vehicle

HHH evolves into a slower-growing but highly asset-backed platform producing recurring cash flows and possibly dividends.

4. Privatization scenario

Ackman eventually acquires the remaining shares at a premium and integrates HHH more deeply into the Pershing ecosystem.

Each scenario creates a completely different investment profile for minority shareholders.

That is precisely why the market seems confused.

HHH is no longer easily classified as:

  • a REIT,
  • a developer,
  • an insurer,
  • or a holding company.

It now sits somewhere between all of them.

And historically, markets tend to discount structures they do not fully understand.

At current prices, investors may effectively be buying:

  • premium U.S. land assets,
  • long-duration development optionality,
  • insurance float,
  • and a free option on Ackman successfully building a modern “Baby Berkshire.”

But there are also meaningful governance and structural risks.

The biggest risk may not be operational.

It may be whether the best economics ultimately remain inside HHH — or migrate toward Pershing-controlled entities over time.
