Netflix bought Warner Bros Discovery and here is what you need to understand

Netflix bought Warner Bros, and here is a summary for you to understand

On December 5th, the news that Netflix bought the traditional, valued Warner Bros Discovery was a huge surprise for all cinema and streaming consumers. People were concerned about the traditional cinema productions, about the changes that come with this, and also how this is going to work, so here is a summary of what you need to understand for now.

Each WBD shareholder will receive $23.25 in cash and $4.50 in Netflix stock per share (subject to stock price conditions). The agreement was approved by both companies’ boards, but still depends on regulatory and shareholder approval. The deal is expected to close within 12–18 months, and only after WBD completes the separation of its Global Networks business into a new company called Discovery Global

This is not the first time Warner Bros has passed to different hands

Here is a summary of the owners of Warner Bros since its foundation in 1923.

1923

Founding: the Warner brothers (Harry, Albert, Sam, Jack)

Warner Bros. Pictures was founded as an independent film studio.

1966–1967

Seven Arts Productions → merged into Warner Bros.-Seven Arts

Seven Arts acquired controlling interest from Jack Warner; studio renamed Warner Bros.-Seven Arts.

1969

Kinney National Company → rebranded as Warner Communications

Kinney National bought Warner Bros.-Seven Arts; by 1972 company officially renamed Warner Communications.

1990

Merge into Time Warner (via merger of Warner Communications + Time Inc.)

Time Inc. + Warner Communications combined, forming what was then one of the largest media conglomerates worldwide.

2001

AOL Time Warner — merger of Time Warner + AOL

Aimed to combine traditional media and early-internet assets, but ultimately this union was unsuccessful.

2009

Spin-off of AOL; return to Time Warner structure

AOL was separated — a sign of undoing the failed “new media + content” bet.

2018

Acquisition by AT&T → renamed WarnerMedia

AT&T acquired Time Warner, integrating media/entertainment assets under its telecom umbrella.

2022

Merge with Discovery, Inc. → formation of Warner Bros. Discovery (WBD)

After AT&T spun-off WarnerMedia, WBD foi criada, reunindo estúdios, streaming, canais e outras divisões.

2025 (announced)

Netflix — agreed to acquire Warner Bros Discovery’s studio + streaming business

The deal is estimated at approximately US$72–83 billion, but is still subject to approvals.

According to Netflix's post on “Netflix to Acquire Warner Bros. Following the Separation of Discovery Global for a Total Enterprise Value of $82.7 Billion (Equity Value of $72.0 Billion)

Netflix says the acquisition will expand its global reach, strengthen its studio and production capabilities, and combine its original hits with Warner Bros.’ iconic franchises such as Harry Potter, DC Universe, Game of Thrones, Friends, The Sopranos, and The Wizard of Oz.

The company expects to:

  • Increase investments in original productions
  • Create more opportunities for talent
  • Expand U.S. production capacity
  • Save $2–3 billion per year by the third year
  • Boost revenue, engagement, and shareholder value

It does not mean Warner Bros. will stop producing movies for theaters

Netflix affirmed that Warner Bros will continue with the big and powerful movie production and keep Warner’s current operation, including showing 15 movies a year in theaters.

Consolidation of Netflix's position in the entertainment world

With Netflix + Warner, a large portion of films, series, franchises, and content is under the control of a single company. This raises antitrust concerns: less competition, less diversity of independent studios, and greater dependence on a giant.

This acquisition is more than a business move — it is a turning point in how stories are made, distributed, and consumed. The union of Netflix’s global reach with Warner’s century-long legacy can bring extraordinary value to audiences worldwide. We will still see its impacts when it finally starts.
