Contract performance refers to the fulfillment of the obligations specified in a contract. When a party does not fulfill these obligations, it results in a breach of contract. Remedies for breach of contract are the legal solutions available to the non-breaching party, which can include monetary damages, specific performance, or contract termination.

1. Performance and Discharge

Performance is the act of completing the duties specified in a contract Discharge of a contract occurs when the obligations under the contract are fulfilled, either through performance or other means, releasing the parties from further duties.

Example: A contractor agrees to build a house for a client. Once the house is completed according to the contract specifications, the contractor has performed their obligations, and the contract is discharged.

2. Conditions

Conditions in a contract are specific requirements that must be met for the contract to be enforceable. These can be conditions precedent (must be met before a contract is binding), conditions concurrent (must be met simultaneously by both parties), or conditions subsequent (terminate the contract if they occur).

Example: A real estate contract might include a condition precedent that the buyer must secure financing before the sale can proceed. If the buyer fails to obtain a mortgage, the contract is not enforceable.

3. Discharge by Performance

A contract is discharged by performance when both parties fulfill their contractual obligations as agreed. This can be complete performance (all terms are met exactly) or substantial performance (most terms are met, with minor deviations).

Example: A freelance graphic designer is hired to create a logo for a company. Once the designer delivers the logo and the company pays for it, both parties have performed their obligations, and the contract is discharged.

4. Discharge by Agreement of the Parties

Parties can mutually agree to discharge a contract, releasing each other from their obligations. This can occur through various methods such as novation (replacing the old contract with a new one), rescission (canceling the contract), or accord and satisfaction (agreeing to accept different performance than originally agreed).

Example:

Imagine two companies, A and B, have a contract where Company A agrees to supply raw materials to Company B for one year. Halfway through the year, both companies decide that the contract is no longer beneficial. They mutually agree to terminate the contract. This mutual agreement to end the contract discharges both parties from their obligations under the original agreement.

5. Discharge by Operation of Law

A contract can be discharged by operation of law in certain circumstances, such as bankruptcy, impossibility of performance (when it becomes impossible to fulfill the contract due to unforeseen events), or illegality (if the contract becomes illegal due to changes in the law).

Example: A contract for the sale of goods becomes impossible to perform because the goods were destroyed in a natural disaster. The contract is discharged by operation of law due to impossibility of performance.

6. Waiver of Breach of Contract

A waiver of breach occurs when the non-breaching party voluntarily relinquishes their right to enforce the breach. This can be explicit (stated clearly) or implicit (inferred from actions). Waiving a breach does not necessarily waive future breaches unless explicitly stated.

Example: A landlord and tenant have a lease agreement that requires rent to be paid on the first of each month. The tenant pays late one month, but the landlord accepts the late payment without penalty. By accepting the late payment, the landlord waives the breach for that month.
