83.5% ROCE, Zero Debt — What’s Really Driving P&G Health’s Numbers
P&G Health Ltd is one of India's largest VMS (Vitamins, Minerals, and Supplements) companies. Following a major global acquisition (P&G acquired Merck KGaA's Consumer Health segment for $4.2B in 2018), the company operates in the FMCG/Pharma hybrid space.
P&G Health Ltd Overview
Business: The company manufactures and sells pharmaceuticals, vitamins, and health supplements.
Its products are sold globally (in ~180 countries), but around 90% of revenue comes from India — meaning the company is heavily dependent on the Indian market.
Manufacturing:
The company has a single main manufacturing facility, located in Goa.
Distribution Shift:
In FY23, the company removed middlemen (C&F agents) from its supply chain and moved to a direct-distributor system. This made deliveries faster and improved product availability across both online and offline channels.
Important Key Metrics
Market Cap: The company's market cap is ₹10,115 Cr, placing it in the mid-cap healthcare category — neither small enough to carry very high risk, nor large enough that growth is fully capped.
Current Price vs 52-Week High/Low (₹6,088 | ₹6,975 / ₹4,700): The stock is trading roughly 12–13% below its 52-week high of ₹6,975, and has recovered significantly from its 52-week low of ₹4,700.
Stock P/E (30.4x): The sector median P/E is 33.86x, while peers such as Divi's (73.95x), Torrent (84.72x), and Mankind (47.11x) trade at much higher multiples. Compared to Sun Pharma (36.99x) and Cipla (33.32x) as well, PGHL's P/E of 30.4x sits below the sector median and below these listed peers.
Book Value (₹316): This puts the Price-to-Book ratio at ~19x. This can look high in isolation, but for asset-light MNCs this is common, since their real value sits in brands (Evion, Neurobion) rather than in heavy machinery or land.
Dividend Yield (2.54%): This functions similarly to passive income from a Fixed Deposit (FD) or regular savings instrument. A 2.5%+ dividend yield is on the higher side within the pharma/FMCG sector.
ROCE (83.5%) & ROE (61.6%):
ROCE (83.5%): For every unit of capital employed in the business, the company generates an 83.5% operating return.
ROE (61.6%): For every ₹100 of shareholder equity, the company generates ₹61.6 in net profit. For context, most Indian listed companies (the source cites ~99%) report ROCE/ROE below 20–25%.
Face Value (₹10.0): This is the reference value that would apply in the event of any future stock split.
Quarterly Results (Jun 2023 to Jun 2026) — Financial Analysis:
Top-Line (Sales Growth) — Turnaround Pattern (FY24 vs FY25-26):
In FY24 (Mar 2024 and Jun 2024), sales growth was negative, at -21.33% and -5.74% respectively — meaning growth had slowed sharply. Since Mar 2025, sales have shown a sharp recovery: Mar 2025 (+23.17%), Jun 2025 (+19.33%), Dec 2025 (+20.69%), and Mar 2026 (+19.12%) — double-digit growth across these quarters.
Cost Efficiency:
Material Cost %: This stood at 29–31% in FY23/24, and came down to 24.45% by Dec 2024 and 21.05% by Sep 2025. In the most recent quarter, however, this cost has risen again, reaching 25% in March 2026.
Employee Cost %: This was previously around 18–19%, and has since come down to a range of roughly 13.7%–16.5%.
This shows the company has generally managed to keep its expenses under control.
Operating Profit Margin (OPM) Expansion: OPM was 15% in Jun 2023, and reached 36–40% by Sep 2024 / Sep 2025 / Mar 2026. The average OPM currently sits in the 27–37% range.
Net Profit & EPS Trend:
EPS Expansion: Quarterly EPS rose from a low of ₹10.11 in Jun 2024 to a record ₹57.92 in Jun 2026.
Exceptional Item Note (Jun 2026): An exceptional income of ₹31.80 Cr in Jun 2026 contributed to Net Profit of ₹96 Cr and EPS of ₹57.92 for that quarter. Even excluding this exceptional item, the underlying operating profit trend remains consistently strong.
Zero Interest Expense: The company has reported ₹0 in interest expense across all recent quarters, consistent with a debt-free balance sheet.
P&G Health Ltd Balance Sheet Details
Equity Capital & Reserves:
Equity Capital (₹17 Cr): This has remained static and constant — the company has not diluted equity by issuing new shares.
Reserves (₹508 Cr – ₹522 Cr): Reserves peaked at ₹1,524 Cr in 2019–2020, and have since settled into the ₹500–700 Cr range. This is because the company distributes a large share of its net profit (90%+ payout) as dividends each year.
Borrowings & Debt Profile:
Short-term / Long-term Borrowings (₹0 – ₹9 Cr): The company is, in practical terms, debt-free. The ₹8–9 Cr in minor borrowings likely reflects lease or working-capital adjustments rather than conventional debt, and there is effectively no interest burden.
Fixed Assets & Gross Block:
Fixed Assets: These have declined from ₹144 Cr (2023) to ₹102 Cr (2026).
Cash & Cash Equivalents: The cash position has declined from ₹1,243 Cr (2019) to ₹185 Cr (2026). The cash pile was unusually high (₹1,240+ Cr) around the 2018–2019 P&G acquisition period. Over subsequent years, management has returned this excess cash to shareholders through special dividends and consistently high regular dividends. The current cash balance of ₹185 Cr covers the company's stated day-to-day operational needs and its dividend payments.
Cash Flow Statement (2015–2026)
Cash Flow From Operating Activities (CFO):
How much actual cash the business generates from operations is a critical metric for any company. CFO rose from ₹169 Cr (Mar 2025) to ₹338 Cr (Mar 2026) — roughly double. Additionally, nearly all of the Operating Profit (OP) reported in the P&L converts into actual cash. The CFO/OP conversion ratio has ranged between 97% and 102% over FY24–FY26, indicating clean accounting and high earnings quality.
Cash Flow From Investing Activities (CapEx):
How much the company reinvests into the business: CapEx was previously in the ₹35–52 Cr per year range, and has since come down to ₹21.7 Cr (Jun 2024), ₹8.5 Cr (Mar 2025), and ₹15.5 Cr (Mar 2026).
Cash Flow From Financing Activities (Dividends & Capital Return):
Where the cash goes: In Mar 2026, the company paid out ₹340 Cr in dividends (against CFO of ₹338 Cr) — the company distributes close to 100% of its operational and free cash flow to shareholders as dividends. Since the company carries no meaningful debt, debt repayment accounts for ₹0 in cash outflow.
Shareholding Pattern
Promoter Holding (51.82%): The parent MNC (The Procter & Gamble Company, USA) holds a constant 51.82% equity stake, with none of it pledged.
Institutional Holding (FIIs + DIIs, ~18.77% combined):
DII Trend: Domestic mutual funds/institutional investors increased their stake from 12.30% to 14.84% during FY24 (a period of distribution-transition and temporary slowdown), and have since brought it down to 12.44% amid the recent price run-up.
FII Trend: Foreign investor holding has stayed in a stable 6%–7.2% range.
Retail Shareholder Data:
While overall public holding has risen slightly (28.5% to 29.4%), the number of individual (retail) shareholders has declined noticeably:
Sep 2023: 57,919 shareholders
Jun 2026: 49,056 shareholders
This represents roughly 8,800+ fewer retail holders over this period, alongside holding shifting toward larger, more concentrated positions.
