U.S. SEC issues first-ever definitions for what crypto assets are securities, providing token builders, innovators, and entrepreneurs with clear guidance on the status of crypto assets under the federal securities and commodity laws

For over a decade, market participants have operated without clear guidance on a fundamental question: when does a crypto asset implicate the federal securities laws?
The Securities and Exchange Commission (SEC) has issued an interpretation clarifying how the federal securities laws apply to certain crypto assets and transactions involving crypto assets. The SEC says its reach into digital securities does not include airdrops, protocol staking and protocol mining.
The SEC’s interpretive guidance, which doesn’t yet carry the weight of a formal new rule, has been promised by its leader, Chairman Paul Atkins, who was put in place by President Donald Trump to enact a pro-crypto agenda. And it was issued in partnership with the Commodity Futures Trading Commission, just days after the two agencies agreed on a formal relationship in which they plan to regulate crypto and other industries as close partners.
Water credit tokens are classified as a Digital Commodity, like Bitcoin or Ethereum. Here’s why this matters for you:
- It’s a direct asset: When you use the UWR “Burn & Tokenize” feature, the water credit is transformed directly into the token. It’s not a security, share, or IOU for a future project. The token is the asset.
- It “graduates” from securities laws: This tokenization process fulfills the core promise of the project. Once the token is in your wallet, it operates independently on the blockchain. Its value comes from the real-world water harvesting or recharge efforts it represents and market supply and demand, not from the ongoing efforts of UWR or the token creator.
- Clear regulatory status: This classification provides clarity and confidence, aligning water credit tokens with other major digital commodities and separating it from assets that are subject to securities regulations.
“After more than a decade of uncertainty, this interpretation will provide market participants with a clear understanding of how the Commission treats crypto assets under federal securities laws. This is what regulatory agencies are supposed to do: draw clear lines in clear terms,” said SEC Chairman Paul S. Atkins. “It also acknowledges what the former administration refused to recognize — that most crypto assets are not themselves securities. And it reflects the reality that investment contracts can come to an end,” he said.
“For far too long, American builders, innovators, and entrepreneurs have awaited clear guidance on the status of crypto assets under the federal securities and commodity laws. With today’s interpretation, the wait is over,” said CFTC Chairman Michael S. Selig.
The interpretation clarified that only one crypto asset class remains subject to securities laws, namely digital securities, which are traditional securities in new technology.
The Commission interpretation:
- Provides a coherent token taxonomy for digital commodities, digital collectibles, digital tools, stablecoins, and digital securities.
- Addresses how a “non-security crypto asset” — which is a crypto asset that itself is not a security — may become subject to, and how it may cease to be subject to, an investment contract.
- Clarifies the application of federal securities laws to airdrops, protocol mining, protocol staking, and the wrapping of a non-security crypto asset.
