Property Due Diligence in Madeira: Why a Clean Registo Predial Is Not Enough
A real acquisition case where all standard documents were in order and due diligence still found a risk that could have voided the purchase. What documents confirm, and what they miss.
A few months ago, a client brought us a land acquisition in Madeira. The Registo Predial was in order. The Caderneta Predial matched. The BUPi records were consistent. No charges, no encumbrances, no declared issues.
For most buyers, and for many advisors, that combination is sufficient to proceed. The documents confirmed the current state of the property with no visible problems.
During our due diligence, we found something that changed the picture entirely.
What the standard documents confirmed
The three core property documents that form the basis of any Madeira property transaction were all current and consistent. The Registo Predial confirmed registered ownership and the absence of declared charges. The Caderneta Predial confirmed the cadastral classification and tax registration. The BUPi records corroborated the boundary and ownership data.
In this case the documents were accurate. They were also incomplete.
What the documents did not surface
The current ownership had been established through usucapiao por testemunho, adverse possession by witness testimony. This is a legitimate legal mechanism in Portugal through which ownership can be formalised by demonstrating long, uninterrupted possession of a property, even without a conventional chain of deeds. The acquisition had been formalised and registered, but the registration had taken place only two years before our client’s proposed transaction.
Under Portuguese law, ownership acquired through usucapiao can in certain circumstances be challenged within defined timeframes following registration. The documentation was legally valid. The risk was in the recent history behind the registration, and in the time that had elapsed since it was made.
A buyer who had proceeded without identifying this would have committed capital to an acquisition that carried a residual challenge risk. The potential outcome was the loss of both the land and the investment.
The difference between document compliance and due diligence
Legal document review confirms the current state of a property. It establishes who owns it, how it is classified for tax and cadastral purposes, and whether there are declared charges or restrictions attached to it. This is necessary and forms the foundation of any transaction.
What document review does not consistently surface is the legal history behind those documents. How ownership was originally established. Whether that establishment sits within a timeframe that remains open to legal challenge. Whether the chain of title contains any element that could become a problem for a future owner.
That is the function of property due diligence. It is not an extension of document review. It is a separate analytical process applied to the information that documents either do not contain or do not make explicit.
What due diligence covers in Madeira specifically
For property acquisitions in Madeira, a thorough due diligence review typically covers several dimensions beyond title history. PDM land classification determines what can be built or modified on a given plot, and the gap between what is physically possible and what is legally permitted is significant in many areas of the island. Occupancy permit status confirms whether existing structures have been formalised with the local camara. Alojamento local licensing eligibility matters for any buyer with rental income objectives. Access road arrangements, particularly for rural and hillside properties, may have operated informally for decades without legal documentation. Renovation constraints apply to properties in heritage or conservation classifications.
None of these appear in the standard three documents. All of them have material implications for value and intended use.

A solicitor engaged to handle a property transaction in Madeira is responsible for legal compliance: verifying that documents are in order, drafting contracts, calculating and processing taxes, and managing the notarial closing. That scope is defined and necessary.
A buyer-side advisor operates in a different scope. Their role is to examine what lies behind the documents, assess the commercial and technical dimensions of the acquisition, and identify any risk that the legal process alone would not surface. In a straightforward transaction with a clean and recent title history, the two roles rarely come into conflict. In a case like the one described here, the gap between them is where the acquisition risk lives.
The outcome and what it demonstrates
We advised our client against proceeding on that plot. The search was redirected and a suitable alternative was identified. The documents had been clean. The acquisition would not have been.
Due diligence in Madeira is not a precaution for complex cases. It is the analytical step that determines whether what appears to be a good acquisition actually is one. Running it thoroughly, before the promissory contract is signed and the deposit is committed, is the only point at which the information it surfaces can still change the outcome.
