In private markets, it’s easy to spend most of the time on entry price.

Entry matters, but realized returns are created somewhere else.

They are created when the exit is credible.

A great investment is not defined by what looks good in a model. It is defined by what can be sold, to whom, and under what conditions.

The difference between “a story” and “a path”

Every deal can produce a story. Many stories sound persuasive.

A path is more demanding.

A path explains who the buyer could be, what strategic value they would be purchasing, and why timing would work in that buyer’s favor. It makes the future tangible rather than optimistic.

Exit is a risk question, not a performance question

Most people treat the exit as the final chapter. I treat it as a risk constraint from the beginning.

When an exit is vague, the investment becomes more fragile. Not because the business will fail, but because liquidity becomes uncertain.

A business can perform well and still disappoint if there is no realistic buyer, no clear strategic value, or no market that can absorb the asset at scale.

Milestones matter more than narratives

The strongest private investments are not just “high growth.” They are milestone-driven.

The milestones create proof: operational maturity, durable cash generation, customer concentration improvement, or strategic positioning that makes the asset genuinely valuable to a future acquirer.

Those milestones increase exit probability, which is what converts forecasted IRR into realized outcome.

The simplest test

If everything goes right operationally, can you name a buyer with a clear reason to pay?

If you cannot, the deal may still be interesting. But it is not fully investable.
